1. Agreement to Terms

By accessing or using CareerOnTrack (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and PotentiaOS Inc.

We may update these Terms from time to time. Material changes will be communicated via email to registered users. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Service Description

CareerOnTrack is an AI-powered career intelligence platform that provides:

  • Career Readiness Score (CRS) assessment and tracking
  • AI-powered resume tailoring and cover letter generation
  • ARIA AI companion for career coaching, mock interviews, and event preparation
  • Network Activation tools for discovering warm connections and drafting outreach
  • Skills Intelligence Engine with gap analysis, course prescriptions, and ROI scoring
  • Application Command Center for tracking job applications
  • Market Pulse briefings with personalized market intelligence
  • LinkedIn Presence Builder for content strategy

The Service is designed for job seekers aged 18 and older. You must be legally able to enter into contracts in your jurisdiction to use the Service.

3. User Accounts

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

4. Pricing, Payments & Subscriptions

Billing

  • Monthly subscriptions are billed in advance on the same day each month
  • All payments are processed securely through our PCI-DSS compliant payment processor
  • Prices are in USD and do not include applicable taxes
  • We reserve the right to change pricing with 30 days’ notice to subscribers

Cancellation

  • You may cancel your subscription at any time through the Settings page or customer billing portal
  • Cancellation takes effect at the end of the current billing period
  • You retain access to paid features until the end of the period you have already paid for
  • Sprint purchases are non-refundable once the 90-day period has started

Refunds

Monthly subscriptions: If you cancel within 7 days of your first payment and have not used paid features extensively, you may request a full refund by contacting support@careerontrack.com. After 7 days, no prorated refunds are provided.

5. 90-Day Landing Guarantee

Pro and Sprint users who follow the CareerOnTrack campaign plan for 90 days and do not receive at least 3 interview invitations will receive the next 90 days free.

Activity Commitment Agreement

By subscribing to a Pro or Sprint plan, you acknowledge and agree that eligibility for the 90-Day Landing Guarantee requires active, consistent participation in the CareerOnTrack campaign plan. You commit to completing the daily actions, coaching sessions, and outreach activities prescribed by the system. CareerOnTrack automatically tracks and logs all user activity to verify guarantee eligibility.

Qualification Requirements

To qualify for the guarantee, you must meet ALL of the following during the 90-day period:

  • Complete daily actions as recommended by the action queue (minimum 80% completion rate)
  • Attend at least 4 ARIA coaching sessions (any mode)
  • Send a minimum of 30 personalized outreach messages
  • Submit at least 20 quality applications (quality score 6+)
  • Maintain an active account throughout the period (no pauses exceeding 7 consecutive days)

Activity Audit Trail

CareerOnTrack maintains a comprehensive, tamper-resistant audit trail of all user activity throughout the guarantee period. The following data is automatically recorded and timestamped:

  • Daily action queue completion: Each action is logged with a timestamp when marked complete. Your overall completion rate is calculated from this data.
  • ARIA coaching sessions: Session start/end times, duration, mode (interview coach or strategy coach), and session transcripts are recorded automatically.
  • Outreach messages: Each outreach message drafted and sent is logged with date, recipient (anonymized in reports), and status.
  • Applications submitted: Each application is tracked with company, role, date, quality score, and submission evidence (screenshot or confirmation text).
  • Interview invitations: Only verified interviews count toward the 3-interview threshold. Verification requires either an ARIA debrief session or written debrief notes logged within 48 hours of the interview.
  • Login activity: Account login dates are tracked to verify the no-gap-exceeding-7-days requirement.
  • Career Readiness Score history: All CRS snapshots are preserved to demonstrate engagement trajectory over the 90-day period.

This audit trail is available to you at any time via the Settings page data export. In the event of a guarantee claim, this data will be reviewed to verify eligibility. CareerOnTrack reserves the right to deny claims where the audit trail does not demonstrate good-faith participation in the campaign plan.

What counts as an interview

An “interview invitation” means a confirmed request from an employer to participate in a formal interview process (phone screen, video interview, or in-person meeting). Informational interviews, networking conversations, and recruiter outreach do not count. Each interview must be verified through submission evidence or an ARIA debrief session.

How to claim

If you meet all qualification requirements and have not received 3 verified interview invitations after 90 days, contact support@careerontrack.com within 14 days of the guarantee period ending. We will review your activity audit trail and, if qualified, extend your access for an additional 90 days at no charge.

Limitations

  • The guarantee applies once per user
  • Users who cancel and re-subscribe do not receive a new guarantee period
  • Guarantee does not apply to Starter or Free tier users
  • CareerOnTrack reserves the right to deny claims where the audit trail does not demonstrate genuine, good-faith engagement with the campaign plan
  • Artificially inflating activity metrics (e.g., completing actions without meaningful effort, sending duplicate outreach) constitutes a violation of these Terms

6. Acceptable Use

When using CareerOnTrack, you agree NOT to:

  • Provide false or misleading information in your profile or applications
  • Use the Service for any unlawful purpose
  • Scrape, crawl, or automate access to the Service beyond normal use
  • Share your account credentials with others
  • Use AI-generated content to impersonate someone or create fraudulent applications
  • Harass, spam, or send unsolicited messages to contacts discovered through the Service
  • Reverse engineer, decompile, or attempt to extract source code or proprietary algorithms
  • Circumvent feature gating, usage limits, or security measures
  • Upload malicious files, viruses, or harmful content
  • Artificially inflate activity metrics or gaming the guarantee qualification system

Violation of these terms may result in immediate suspension or termination of your account without refund.

7. AI-Generated Content

CareerOnTrack uses third-party artificial intelligence services to generate content including resumes, cover letters, outreach messages, coaching advice, and career recommendations. You acknowledge and agree that:

  • AI output requires human review. All AI-generated content is provided as suggestions. You are responsible for reviewing, editing, and approving any content before use.
  • No guarantee of accuracy. AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. We do not guarantee the accuracy, completeness, or suitability of AI outputs.
  • You own your content. Content you create using AI assistance (tailored resumes, outreach messages, etc.) belongs to you. You are responsible for how you use it.
  • No employment guarantee. CareerOnTrack does not guarantee employment, interviews, or any specific career outcome beyond the explicit terms of the 90-Day Landing Guarantee (Section 5).
  • Outreach responsibility. All networking messages drafted by AI must be reviewed by you before sending. You are solely responsible for any messages you choose to send to contacts.
  • AI training. Your data is not used to train any third-party AI models. Our AI service providers operate under data processing agreements that prohibit training use of your data.

8. Your Data

  • You retain ownership of all personal data and content you provide to the Service
  • You grant us a limited license to use your data solely to provide the Service
  • You can export all your data at any time in JSON format via Settings
  • You can delete your account and all associated data at any time
  • Upon account deletion, your data is removed from active systems within 30 days

9. Intellectual Property

The CareerOnTrack platform, including its design, code, algorithms, scoring methodologies, behavioral intelligence systems, AI prompt engineering, and branding, is the intellectual property of PotentiaOS Inc. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the platform, its algorithms, or its proprietary systems without our written permission.

The Career Readiness Score (CRS) methodology, including dimension weights, scoring algorithms, and the graduated behavioral intelligence system, is proprietary to PotentiaOS Inc.

10. Third-Party Services & Links

CareerOnTrack integrates with third-party services for payment processing, job market data, and other functionality, and may link to external websites (course providers, job boards). We are not responsible for the content, privacy practices, or terms of these third-party services. Your use of third-party services is governed by their respective terms.

We may change our third-party service providers from time to time. Such changes will not materially affect the functionality of the Service or the protections described in our Privacy Policy.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POTENTIAOS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless PotentiaOS Inc. and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you submit or generate using the Service.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, conducted in English. The arbitrator’s decision shall be final and binding.

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized data access.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts of Ontario for any legal proceedings relating to these Terms.

15. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PotentiaOS Inc. regarding the Service.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
